• 1022971 Alberta Ltd., a subsidiary of Matco Investments Ltd., a private investment company, plans to acquire Southward Energy Ltd., Calgary, for C$4.77 per share in a deal valued at C$188 million, including debt. Southward's assets are primarily in western Canada. 2002 production was 7,183 BOE per day (92% gas). BMO Nesbitt Burns Inc. is financial advisor to Southward and Peters & Co. Ltd. is advisor to 1022971 Alberta. • Enerplus Resources Fund, Calgary, has acquired PCC Energy Inc. and PCC Energy Corp., Canadian subsidiaries of PetroCorp Inc., Tulsa, Okla., for C$167.6 million. The assets include production of approximately 4,380 BOE per day and established reserves of approximately 17.2 million BOE, after adjustments. Waterous Securities Inc. was financial advisor. • Shiningbank Energy Income Fund, Calgary, plans to acquire assets in west-central Alberta for approximately C$133.3 million from Baytex Energy Ltd., Calgary. The properties include a mix of operated and nonoperated interests in the Ferrier and O'Chiese areas. Production from the assets is approximately 3,300 BOE per day, consisting of 14.5 million cu. ft. of gas and 880 bbl. of liquids. The assets also include 25,000 net acres of undeveloped land. Baytex acquired most of the properties in its acquisition of Triumph Energy Corp. in early 2001. Established reserves total 11.4 million BOE. The price per BOE of established reserves is C$11.68, according to Shiningbank. • APF Energy Trust plans to acquire Nycan Energy for C$36.9 million in cash, plus the assumption of approximately C$7.9 million of debt. The assets, primarily in southeast Alberta, include daily production of approximately 1,400 BOE, consisting of 6.4 million cu. ft. per day of gas and 327 bbl. of liquids. Proved producing reserves are estimated at 2.5 million BOE. The price per BOE of reserves is C$8.34, according to APF. • Midnight Oil & Gas Ltd., Calgary, plans to acquire Capture Energy Ltd., a private company, for approximately C$30 million in stock and debt assumption. Capture's properties are primarily in west-central and the Peace River Arch areas of Alberta. Assets include production of 4 million cu. ft. of gas and 22 bbl. of liquids per day, 142,500 gross acres of undeveloped land and established reserves of 2.6 million BOE. • Aquest Explorations, Calgary, has acquired Red Leaf Energy Inc. assets for C$12 million. Current production is approximately 500 BOE per day from three properties around the Camrose area of east-central Alberta. The assets also include approximately 1.48 million BOE of established reserves, primarily 100% working-interest operated-properties, 100%-owned facilities, approximately 7,300 net acres of undeveloped land with multizone potential and a seismic database (2-D and 3-D). • Endev Energy Inc., Calgary, has acquired five private companies for C$11.5 million. The assets include interests in nine producing properties in the Ogston, Gordondale and Sawn Lake areas of Alberta. Production is estimated at 200 net BOE, with an additional 300 BOE currently being tied-in. • Gold Canyon Resources, Calgary, Calgary Oil & Gas Co. and two other companies have agreed to purchase a limited partnership interest in RIC 2002 Investment Co. for C$8.73 million. The assets consist primarily of royalties on wells and related processing plants and facilities in Alberta • Ranchgate Energy, Calgary, has acquired assets in the West Hazel area of west-central Saskatchewan from two vendors for C$4 million. The assets are to be operated by Ranchgate and are currently producing 810 bbl. of oil per day. Total proved reserves are estimated at 729,000 bbl. of oil and probable reserves at 590,000 bbl. of oil. The price per barrel of oil of reserves is C$4, according to Ranchgate. • Aurado Exploration Ltd., Toronto, plans to acquire certain producing properties in central Alberta for C$3.7 million from Case Resources Inc., Calgary. The assets include production of 163.4 BOE a day. The properties mainly consist of minority nonoperated working interests and a number of recompletion and infill development drilling opportunities. The assets will bring its Canadian production to 182 BOE per day. • Connacher Oil and Gas Ltd., Calgary, has acquired facilities, production and oil reserves at Battrum in southwest Saskatchewan for C$3.1 million. Connacher now produces approximately 1,200 to 1,300 BOE per day, including more than 500 bbl. of oil per day in the Battrum area. The properties produced 384 bbl. of oil per day for the first nine months of 2002. Proved producing reserves are estimated at 1.25 million bbl. of oil. • Desmarais Energy Corp., Calgary, has acquired producing assets and undeveloped lands in southern Alberta, west-central Alberta, northwestern Alberta, and the Fort St. John area of northeastern British Columbia from the El Paso Velvet Exploration Partnership. Production from the assets is approximately 520,000 cu. ft. of gas and five bbl. of oil per day. At Sept. 1, proven reserves were estimated at 150,000 BOE, 60% proved producing, and estimated established reserves were 410,000 BOE. • Devlan Exploration, Calgary, has entered into an agreement to acquire certain holdings in north-central Alberta. The assets produce 256 net BOE per day, consisting of 182 bbl. of oil and 445,000 cu. ft. of gas. The assets include existing infrastructure and 21 producing wells. As of Jan. 1 the assets contain proven reserves of more than 457,000 bbl. of oil and 784 million cu. ft. of gas. • Meridian Energy Corp., Calgary, plans to acquire Raycal Energy Inc., whose assets consist primarily of cash, a joint-venture agreement with Meridian and an interest in three wells. Meridian will have daily production of approximately 100 BOE. • Rhodes Resources Corp., Calgary, plans to acquire certain assets in Twinning, Alberta, from Rhodes Resources Inc. for C$195,000. The assets include certain oil and gas rights in Section 13, Township 32, Range 25, W4M, including a 100% interest in five wells.
