Comstock Resources Inc.

Intends to offer for sale in a private placement under Rule 144A and Regulation S under the Securities Act of 1933, as amended, $850 million in aggregate principal amount of senior unsecured notes due 2026. The gross proceeds of the offering will initially be deposited in an escrow account pending satisfaction of certain conditions.
