Plans to sell 11.6 million shares of its parent company Dresser-Rand Group Inc. at US$26.95 each and will distribute the proceeds to affiliates of First Reserve Corp. and certain members of Dresser-Rand management. Dresser-Rand will not receive any proceeds. Morgan Stanley is the underwriter.
