Entered definitive agreement with Energy Transfer Partners regarding private placement of common units representing limited partner interests. Transaction closing is conditional on the closing of ETE’s $580 million PIPE. ETP will issue 15.8 million common units to ETE, which has been approved by the boards of directors and conflicts committees.
