Entered into a common stock purchase agreement with accredited investors to issue some 143.9 million shares at $1.39 per share. Net proceeds will be used to fund the acquisition of Tesoro Hawaii LLC, to repay certain outstanding indebtedness, and for working capital and general corporate purposes.
