Schlumberger Holdings Corp. announced the commencement of a private offer to exchange three series of senior notes in the table below for a new series of senior notes to be due in 2028. The aggregate principal amount of old notes that are accepted for exchange will be based on the order of acceptance priority for such series as set forth in the table below, such that the aggregate principal amount of old notes accepted results in the issuance of new notes in an amount not exceeding $1.25 billion. If less than $500 million of new notes would be issued, then all old notes tenders will be cancelled and no New Notes will be created.
