To acquire up to 25% WI in 9,600 acres in Pincher Creek area.

Goldnev Resources Inc., Calgary, (Toronto Venture: GNZ) plans to acquire interests in 15 sections (9,600 acres) of land in the Pincher Creek area of Alberta from a private Alberta company for C$1 million in cash and an undetermined number of shares valued at C$0.35 per share. The total purchase price will be determined by the valuation results of the assets based on criteria tied to an independent engineering evaluation report. If the final purchase price is determined to be less than C$3 million, the buyer is not required to close. If it is more than $6.7 million, the purchaser is not required to close. The assets are approximately 175 kilometers southwest of Calgary. The interests range from 7.5% to 25% and consist of mostly contiguous lands. This property offers oil and gas potential in various intervals of the Lower Cretaceous and Jurassic zones.
