Privately held Shelter Bay Energy Inc., Calgary, has acquired Landex Petroleum Corp. for approximately C$310 million, including approximately $16 million in debt. Subsequently, Crescent Point Energy Trust, Calgary, (Toronto: CPG) acquired Landex's non-Bakken assets from Shelter Bay for C$80 million. Landex shareholders received $164 million cash, 0.632 trust unit per Landex share for a value of $75 million, and 55 million Shelter Bay shares valued at C$1 per share. Assets acquired by Shelter Bay currently produce 3,000 barrels of oil equivalent per day. Assets acquired by Crescent Point currently produce 1,500 barrels equivalent per day. Landex operated in southeastern Saskatchewan. Shelter Bay was recently formed by Crescent Point and is managed through a technical services agreement with Crescent Point. BMO Capital Markets was advisor to Crescent Point. Tristone Capital Inc. was advisor to Landex.
