To buy company with 19.5% WI in Huacalera block in Argentina in western region of Neuquén Basin.

Americas Petrogas Inc., Calgary, (Toronto Venture: BOE) plans to acquire privately held, Argentina-based Energicon SA for US$5.23 million in cash and stock.

Americas Petrogas will pay US$200,000 in cash and issued 2 million shares priced at C$2.44 each.

Energicon holds a 19.5% participating interest in the Huacalera block in Argentina in the western region of the Neuquén Basin.

Pro forma, the Americas Petrogas will have 39% interest in the Huacalera block.
