UGI Corp. subsidiaries AmeriGas Partners and AmeriGas Finance commenced a cash offer to purchase up to $450 million of the outstanding aggregate principal amount the companies’ 5.5% senior notes, due 2025.
Notes validly tendered and not withdrawn by the early tender deadline, June 25 at 5 p.m. EDT, are eligible to receive a purchase price of $1,005 per $1,000 principal amount of notes tendered —including an early tender payment of $50 per $1,000 principal amount of the notes tendered.
Notes validated after the early deadline are eligible for a purchase price of $955 per $1,000 principal amount of notes tendered.
Tendering holders will also receive accrued and unpaid interest from the last interest payment date to, but not including, the applicable settlement date.
